Oddstackr Limited ("we", "us", "Oddstackr", “Oddstacker”, the “Company”, and variations of the same) provides a platform (the “Site”) with the brand name “Oddstacker” for sports contests (“Oddstacking”, “odd stacking”), which includes the website located at www.oddstacker.com. We are registered in Nigeria under company number 1597778. These terms of play ("Terms and conditions", “Terms of service”) govern your ("you", "your", "player") gaming activity with Oddstacker. By opening an Account with Oddstacker (an “Account”) you confirm that you agree to be bound by these Terms of Play.

1. About You
1.1 The Site is a player versus player (PVP) sports contest platform, where players compete by sharing points (“odds”) to the outcome of events selected by Oddstacker. It is a condition of your opening an Account and of your use of that Account that you warrant and represent to Oddstacker that you are over the age of 18 and that you have the mental capacity to take responsibility for your own actions and can enter into a legally binding agreement with us.

1.2 We will initiate KYC (know your customer) processes from time to time. We may employ the use of various databases for verification purposes. 1.3 We reserve the right, for whatever reason and at any time, to take appropriate action which may include but is not limited to closing your account and/or suspending your access or use of our Site, if we suspect or confirm any breach of these terms of play.

2. Your Liability
2.1 Games on Oddstacker are contests between players. These contests involve skills in sports analysis and management of the points (odds) given for sharing. Oddstacking does not involve gambling or the “backing” and “laying” of bets (betting) or games of chance.

2.2 You understand that by gaming with Oddstacker you contest against other players and may lose money to them and you accept full responsibility for such losses.

2.3 You shall indemnify and hold harmless Oddstacker or associated companies, employees, agents and partners from any claims, liabilities, costs and expenses that may arise as a result of your breach of these Terms of Play or a breach of any laws of any jurisdiction applicable to you. In light of any such breach we reserve the right to take any measures as we see fit.

3. Your Account
Opening Your Account 3.1 To access Oddstacker’s services, you must open an Account. You may only play in games with funds available in your Account except in the event of any free play tokens or bonus amounts awarded to your Account or free-play games (free-play are giveaway or promotional games where no entry fee is required)

3.2 You warrant to us that you are acting as principal and not as agent for any third party and when you credit your Account you are using your own source of funding.

3.3 Multiple Accounts per player is prohibited. Only one account per player is allowed. Multiple Accounts held by one player will be closed and all games played with them, voided. Winnings with such accounts will be annulled.

3.4 By signing up you warrant to us that you currently have no account with us and have not previously had an account closed or suspended by us.

3.5 You agree that you will keep your customer registration and Account details up to date. Using Your Account

3.6 When you open an Account, you will be required to choose a username and a password. You must keep your username and password confidential. You must secure your Account and/or Account details from unauthorized use or access.

3.7 You are fully responsible/liable for all transactions that are carried out using your account. Oddstacker shall not be held liable nor take responsibility for any misuse of your Account and/or issues arising from unwarranted access to your Account.

Deposits and Withdrawals
3.8 You can deposit funds into your Account using the methods available on our Account Deposit page.

3.9 The minimum deposit into your Account will be as stated on the deposit page.

3.10 You may only play games with the amount of available funds held in your Account. Accordingly, if you want to play games, you must credit your Account. Further details of how to deposit and withdraw funds can be found on the Deposit and Withdrawal pages.

3.11 By depositing funds into your Account, you agree that you have directed us to hold them and we accept. Additionally, we will take any action we deem appropriate, if we suspect you deposit funds for reasons other than playing games.

3.12 All funds that we hold for you are free of our liabilities.

3.13 You agree that we shall be entitled to retain any interest which might accrue on monies held in your Oddstacker Account.

3.14 Games can only be played with adequate funds available in player Account. Oddstacker reserves the right to annul any games accepted, with insufficient funds in player account, as a result of errors.

3.15 You are responsible for immediately notifying us of all funds erroneously credited into your Account. Such funds shall be recovered by Oddstacker by appropriate means.

3.16 Any games played with improperly credited sums may be cancelled by Oddstacker and all winnings from such games may be annulled by Oddstacker and in the event that the player had already withdrawn the funds, player must return the funds immediately upon request.

3.17 Withdrawals can be processed by clicking 'Withdraw' on the Website, subject to there being sufficient funds in your Account. Withdrawal payments will be made to Accounts requested on the withdrawal page.

Other
3.18 If we incur any charge-backs, reversals or other charges in respect of your Account, we reserve the right to charge you for the relevant amounts incurred.

3.19 We may, at any time, debit your account for any amounts owed by you to Oddstacker. 3.20 Account Termination

3.21 You have the right to close your Account at any time. To close your Account, you should contact our Customer Service team by email or telephone.

3.22 We reserve the right to close or suspend your Account at any time, including in relation to any suspected breach of these Terms of Play by you or if we believe your activities are detrimental to our business operations. We will endeavor to notify before terminating your Account except we are unable to do so as a result of legal and/or reasonable conditions which includes but is not limited to acts of God, accidents or emergencies.

3.23 When your Account is closed or terminated, any funds held in your Account will be sent to you by any payment method we opt to use.

4. Playing Games
Games 4.1 Games in Oddstacker contain predictions.

4.2 Each game contains a group of outcomes (predictions), pre-selected by Oddstacker.

4.3 Each game has a numerical value (points). These points are however called “odds” for the purpose of product integration and familiarity.

4.4 Players are to share the points to the outcomes in a game. Players must share points to all the outcomes in a game. Players can only give a game a minimum of 1.21 odds and a maximum of 9.99 points.

4.5 Players can only participate once per game.

4.6 Each game is made up of 7 components namely; type, prize money, entry fee, win margin, entry, odds, and code.

• 1. Prize money: This is the amount of money to be won. It is the total of the entry fees less the commission.
• 2. Entry: This is the total number of players that can participate in a game.
• 3. Entry fee: This is the amount of money required to participate in a game, per player.
• 4. Odds: These are points which players are required to share to predictions in a game. These odds are not actual odds but are so called to fit into terminologies players are familiar with.

5. Win margin
This is the range of positions on the scoreboard that win and share the prize money.

6. A type: which is the general description of the game based on the event(s) and/or outcome(s) that make up the game.

7. Code: this is a reference number given to each game. Players can use this code to search for games in the game lobby or the results page.

4.7 We code of any game. reserve the right to determine the type, prize money, entry fee, win margin, entry, odds, and

4.8 We reserve the right to create games, in whatever manner we see fit.

4.9 When the event(s) in a game have been completed, the game is resulted and each outcome is either a “won” or a “lost” outcome. “Won” outcomes are outcomes that occurred while “lost” outcomes are outcomes that did not occur. Points or odds shared to won outcomes are summed to give each player a score and a position on the scoreboard. However, points shared to lost outcomes are lost, which means players are not awarded any points they shared to them. Every player then gets a score which is the sum of the individual points they shared to each outcome in the game. Each player’s score determines his/her position on the game’s scoreboard. All players in the game’s winning positions on the scoreboard share the prize money.

4.10 Winners will share the prize money according to the winning structure. The winning structure can be seen by clicking on the win margin.

4.11 Oddstacker may, in its sole and absolute discretion, decide to suspend play on a game at any time. Oddstacker also reserves the right to cancel a game and withhold the winnings or refund the players: to correct any obvious errors; to maintain integrity and fairness in the Oddstacker games; if there has been a change to the format or events within a game; or if it believes any game has been played in contravention of either these Terms of Play or any other legal breaches.

4.12 Oddstacker may, in its sole and absolute discretion, at any time and without prior notice, change the number of predictions, odds, number of tie breaker selections and the number of predictions for tie breaker 1 and 2. 5 Resulting, Nulling and Postponements

5.1 Games will be settled based on the official result of the event(s) associated with them regardless of any subsequent disqualification or adjustments to the result.

5.2 Oddstacker reserves the right to suspend the settlement of games, in the event of inconclusive resolution of events, until such events are concluded our satisfaction.

5.3 Oddstacker reserves the right settle games in whatever manner it deems best in the event of unconcluded, abandoned or postponed events.

5.4 Each game has a minimum entry. If the number of players that played in a game is less than the minimum entry, the game will be cancelled.

5.5 Oddstacker reserves the right to determine the minimum entry of each game.

5.6 If a game’s entry is not full but is greater than the minimum entry it will be accepted. However, the prize money won’t be complete and so winnings will be less than the originally stated amount. The prize money of an incomplete entry game will be shared according to each winning position’s percentage of the stated (original) prize money. This percentage can be seen on the winning structure by clicking the win margin.

6. Commissions
6.1 We charge commissions on each game. Commissions are usually a percentage of the entry fees and may range from 10% to 20%. Oddstacker may, in its sole and absolute discretion, decide the amount to charge for commissions. Players may know the amount of commission charged in a particular game by calculating, using the entry fee, entry and prize money.

7. Our Liability
7.1 The material and information displayed on the Site is provided without any guarantees, conditions or warranties as to its accuracy. Oddstacker and all of its partners, associates or third parties it works with hereby completely absolves itself and themselves of all conditions, warranties and other terms which might otherwise be applied/implied by statute, common law or the law of equity, to the extent permissible by law; for:

7.2 any loss incurred in transmitting information to the Site;

7.3 any loss whatsoever arising from the use (authorized or unauthorized), abuse or misuse of your Account;

7.4 any technical failures, system breakdowns, defects, delays, interruptions, manipulated or improper data transmission, loss or corruption of data;

7.5 data transmission media failures, viruses, digital attacks or any other adverse technological consequence of your choosing to use our products and services;

7.6 the accuracy of any information services available on our site including but not limited to sports and sports related information and statistics.

7.7 any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with the Site or in connection with the use, inability to use, or results of the use of the Site, any websites linked to it and any materials posted on it, including, without limitation any liability for loss of money, valuables, property, benefits or any other loss or damage of any kind directly or indirectly.

7.8 NOTE that these Terms of Play does not affect our liability for death or personal injury arising from our ineptitude, nor any other liability which cannot be excluded or limited under applicable law. Your legal rights remain unaffected and we shall deliver services to you with careful considerations and efforts pursuant to these Terms of Play.

8. Our intellectual property rights
8.1 The contents of the website are protected by international copyright laws, patents, and other intellectual property rights and laws. Oddstackr is the sole owner of these rights.

8.2 All products and company names and logos present on the website are the trademarks, service marks or trading names of their respective owners, including Oddstackr.

8.3 Except to the extent required to use a product for the purpose of playing games, no part of the website may be reproduced or stored, modified, copied, republished, uploaded, posted, transmitted or distributed, by any means or in any manner, or included in any other website or in any public or private electronic retrieval system or service including text, graphics, video, messages, code and/or software without prior notification of Oddstacker and proper permissions and licensing from Oddstacker.

8.4 If you make use of a feature that allows you to upload material, information, comments, postings or other content to the Website (“They”, “Contents”), then the contents will be deemed by us, as free from any form of confidentiality or exclusivity and non-proprietary and Oddstacker reserves the right to use, copy, distribute and disclose to third parties any such content for any purpose.

8.5 Any commercial use or exploitation of the Website or its content is strictly prohibited and should such happen, Oddstacker will take appropriate legal measures.
